David Anderson, Chairman
|
David joined the Board of First Derivatives plc as Non-Executive Chairman in November 2001 ahead of
the Company’s admission to AIM in April 2002. He has been a director of two other Aim listed
companies and is currently also a Non-Executive Chairman of a private property development company
and Non-Executive Director of property related corporate finance house. He has over 20 years experience
in corporate advisory work.

Brian Conlon, Chief Executive Officer
|
|
Brian has worked in the capital markets sector since 1990. Brian trained with KPMG before joining the
risk management team in Morgan Stanley International, London. He joined SunGard the NASDAQ-quoted
derivatives software house as a capital markets consultant. During his time with SunGard,
he worked with more than 60 financial institutions worldwide. He left in 1996 to set up First Derivatives.

Graham Ferguson, Chief Finance Officer
|
|
Graham has joined the Board of First Derivatives plc in August 2008 and will take responsibility for
the financial operations of the Group. He formerly held senior roles with KPMG, Bank of Ireland
and Silverwood Property Developments Limited and is a Qualified Chartered Accountant.
During his career he has worked on numerous corporate acquisitions and restructuring
projects and has experience in Business and Acquisition Finance.

Adrian Toner, Chief Operating Officer
|
Adrian joined First Derivatives plc in November 2005 as a Non Executive Director. He joined the
Executive Board as Chief Operating Officer on 2nd July 2010 and is responsible for business operations
and Human Resources. Adrian brings a wealth of experience to the role and will be instrumental in
supporting the continued growth and success of the firm. Prior to joining the Company, Adrian was
Head of Allianz in Northern Ireland.

Kevin Cunningham, Director
|

Kevin joined the Board of First Derivatives plc as a Director in January 2009. Kevin, who is based in USA is
the co-founder and CEO of Market Resource Partners (MRP) which was acquired by First Derivatives in
September 2008. As CEO of Market Resource Partners he is responsible for providing the overall
strategic direction and leadership. Prior to Market Resource Partners he held various sales and
consulting positions with PricewaterhouseCoopers and several software companies.

Michael O’Neill, Non-Executive Director
|
|
Michael joined First Derivatives as Operations Director in 1997 and served as an Executive
Director until 2009. His current role involves maintaining responsibility for some strategic
partnerships. Prior to joining First Derivatives he spent 6 years in the actuarial industry
with Lloyds Abbey Life, latterly involved in designing, marketing and managing derivative-based
investment products and overseeing the development of his departmental IT infrastructure.

Patrick Brazel, Non Executive Director
|
|
Patrick joined the Board of First Derivatives in August 2010. He is also a Non-Executive Director
of Brady plc, the AIM quoted global provider of trading and risk management software to the global
commodity market. Patrick is also currently Chairman of GoldTier Technologies. Prior to joining
GoldTier he was CEO of Eontec, the market leader in multi-channel retail banking solutions prior to
its acquisition by Siebel Systems in 2004. Patrick’s wealth of experience and expertise in derivatives
trading and risk management systems will be instrumental in the strategic development of the company.

Directors Responsibilities
The directors are responsible for preparing the directors’ report and the financial
statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each
financial year. Under that law the directors have elected to prepare the financial
statements in accordance with applicable United Kingdom Generally Accepted
Accounting Practice (United Kingdom Accounting Standards and Applicable Law).
In preparing these financial statements, the directors are required to:
- Select suitable accounting policies and then apply them consistently;
- Make judgments and estimates that are reasonable and prudent;
- State whether applicable UK accounting standards have been followed,
subject to any material departures disclosed and explained in the financial
statements; and
- Prepare the financial statements on the going concern basis unless it is
inappropriate to presume that the company will continue in business.
The directors responsibilities are to:
- Keep proper accounting records
- Prepare a directors’ report that complies with the Companies (Northern Ireland)
Order 1986
- Maintain the integrity of the corporate and financial information
included on the company’s website
